Ever since Enron and WorldCom first put a laser spotlight on “tone from the top”, the bar has been sharply and irrevocably raised for the role of directors as guardian of corporate culture. Boards have been specifically tasked to become “knowledgeable” about and to oversee their company’s compliance and ethics program and have been held individually accountable for failure to act to prevent corporate wrongdoing. Although it is clear such heightened scrutiny and expectations demands a modern approach to training and engagement on compliance, ethics and culture that is “not your father’s board training”, many boards remain inadequately prepared to operate in this new challenging reality.
