The passage of the UK Bribery Act in the spring of 2010 heralds a new era in British anti-corruption enforcement. This Act is significantly stronger than the FCPA and is a game changer for UK companies, UK citizens working anywhere in the world, and US companies with UK subsidiaries. As most US multi-national companies have either a UK subsidiary or sell goods or services into the UK, they will fall under its requirements and will be subject to its enforcement, conceivably across the globe. Violation of the Act can lead to penalties, both civil and criminal far in excess of the FCPA. This webinar will detail the significant segments of the Bribery Act, compare and contrast it to the US FCPA and provide guidance on the lone defense available under the Bribery Act; that of ‘adequate procedures’. If you work for a UK company, anywhere in the world, you are subject to the Bribery Act and will need to have guidance on what may well constitutes ‘adequate procedures’. Thomas Fox has practiced law in Houston for 25 years. He is now an Independent Consultant, assisting companies with FCPA and International Transaction issues.

He was most recently the General Counsel at Drilling Controls, Inc., a worldwide oilfield manufacturing and service company. In this role, he oversaw the delivery of legal services for Drilling Controls and its corporate parent, Aibel Group Ltd., on a worldwide basis, with current emphasis on FCPA compliance, export and commercial operations. He was involved with compliance investigations, audits, drafted policies and led training on all facets of compliance including FCPA, export, anti-boycott and commercial operations training.
